TERMS AND CONDITIONS OF SALE

Summary

This document outlines the terms and conditions governing the issuance of quotations for Flow, our real estate ERP system. It details pricing validity, payment terms, service delivery timelines, and obligations for both parties. By accepting the quotation, you agree to abide by these terms.

1. Validity of the Quotation

1.1. The quotation is valid for 30 calendar days from the date of issuance.
1.2. Any changes to the scope, requirements, or specifications may result in a revised quotation.

2. Pricing and Taxes

2.1. All prices are quoted in Egyptian Pounds (EGP) or another currency as specified in the quotation.
2.2. Prices are exclusive of applicable taxes, unless explicitly stated otherwise.
2.3. Any additional customization or feature requests beyond the agreed scope will incur extra charges.

3. Payment Terms

3.1. Payment is due according to the following schedule:

  • 40% as a down payment upon acceptance of the quotation.
  • 40% upon successful completion of quality control, testing, and beta validation.
  • 20% after launching the product to app stores or final delivery.
    3.2. Payments must be made within 7 calendar days of receiving an invoice.
  • Late fees are 1,000 EGP / day after 7 calendar days.

4. Delivery and Timelines

4.1. The implementation timeline will be mutually agreed upon after quotation acceptance.
4.2. Delays caused by the client, including failure to provide necessary information for data migration or approvals, may result in extended timelines and potential additional costs.

5. Warranty and Support

5.1. A 90-day warranty period is provided, starting from the date of final delivery. This covers any bugs or issues arising from our implementation.
5.2. Support is included in the pricing.

6. Ownership and Intellectual Property

6.1. Ownership of the software and licenses is subject to full payment of all invoices.
6.2. Any customizations developed for the client remain the intellectual property of Metrics unless otherwise agreed upon.

7. Cancellation and Refunds

7.1. The client may cancel the project at any time by providing written notice. However, payments made up to the cancellation date are non-refundable.
7.2. Flow reserves the right to cancel the project due to non-compliance with these terms or non-payment of invoices.

8. Confidentiality

8.1. Both parties agree to maintain confidentiality of all business, technical, and financial information shared during the project.

9. Limitation of Liability

9.1. Flow shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the product or delays in delivery.

10. Governing Law and Dispute Resolution

10.1. These terms and conditions are governed by the laws of the Arab Republic of Egypt.
10.2. Any disputes shall first be resolved amicably. If unresolved, disputes will be subject to the jurisdiction of Egyptian courts.

11. Acceptance of Terms

By accepting the quotation or making the initial payment, the client acknowledges and agrees to these terms and conditions.
